Despite its long history, case law and literature have not succeeded to define the constituent element of Section 179a German Stock Corporation Act, the transfer of the entire assets of a company, which is subject to the approval of the shareholders’ meeting. The author demonstrates that the provision is intended solely to protect the shareholders’ freedom of disposition, not their assets. Based on this understanding, the entire assets are defined by means of qualitative criteria.
